Gaozheng Civil Explosives to acquire stakes in Ziyuan Copper and Shengyuan Mining

On November 1, Gaozheng Civil Explosives disclosed a major asset restructuring plan. The company intends to acquire a 51% stake in Tibet Ziyuan Copper Co., Ltd. and 100% equity in Tibet Shengyuan Mining Co., Ltd. from Tibet Geological and Mineral Group Co., Ltd. through the issuance of shares. It also plans to raise matching funds by issuing shares to no more than 35 specific investors. The transaction is expected to constitute a major asset restructuring and a related-party transaction, but not a restructuring listing (backdoor listing).

Ziyuan Copper plans to inject the mining rights of the Mamupu mining area, with its main business covering the exploration, mining, and beneficiation of copper and other metal ores. Shengyuan Mining will be allocated a 10.12% stake in Julong Copper and a 27.00% stake in Laguo Resources, both currently held by the Geological and Mineral Group. Julong Copper is primarily engaged in the exploration, mining, processing, and sales of copper ores, while Laguo Resources focuses on salt lake lithium mining and lithium salt production.
